• Apex Society (apex-society.com) — the collective community identity of all members, participants, clubs, and groups
• Apex Qi — the proprietary SaaS technology and digital infrastructure powering the Ecosystem
• ABC (Apex Business Clubs) — commonly used abbreviation for the business club network
• MyApex (myapex.me) — the member dashboard and personal site system

All of these names, brands, logos, domains, and associated marks are registered trademarks and intellectual property of Apex Business Group Worldwide S.L., Spain (CIF: B93697449). They cover different parts of one large, unified project — and all are subject to the same Terms of Use, Rules, Privacy Policy, and legal protections described in this Legal Hub. No person, member, or entity may use any of these brand names without prior written permission from Apex.

What Apex Is

• A global ecosystem platform for business networking and professional connection
• A networking platform connecting professionals, entrepreneurs, investors, and businesses across 80+ countries
• A promotion, visibility, and connection platform for members and their businesses, services, and products
• A digital infrastructure providing tools for commerce, events, media, and collaboration

What Apex Is NOT

• An employer, staffing agency, or recruiter of any kind
• A broker, dealer, or intermediary in any financial transaction
• A licensed financial advisor, investment advisor, or wealth manager
• A seller or manufacturer of any products displayed on the Platform
• The organizer or operator of all events promoted within the Ecosystem — many events are organized by independent third parties
• A guarantor of any outcome, success, investment return, sale, partnership, or business opportunity

Allowed — Members May Upload & Share

• Business profiles, company presentations, and professional bios
• Services, consulting offers, and professional expertise
• Products for sale (physical or digital), provided they are legal and accurately described
• Events, expos, conferences, and meetups
• News articles, press releases, and member stories
• Photos, videos, and other media content they own or have rights to
• Job offers, career opportunities, and internship listings

Strictly Prohibited

• Illegal products, services, or activities of any kind
• Counterfeit goods, fake luxury brands, or trademark-infringing products
• Misleading investment schemes, Ponzi structures, or fraudulent financial offers
• Adult, sexually explicit, or pornographic content
• Weapons, firearms, ammunition, explosives, or dangerous materials
• Drugs, controlled substances, or unregulated pharmaceutical products
• Hate speech, racism, xenophobia, or content promoting discrimination
• Political extremism, radicalization content, or terrorism-related material
• Spam, unsolicited mass messages, or automated scraping of member data
• Scams, phishing attempts, or deceptive business practices
• False claims of partnership, endorsement, or affiliation with Apex
• Copyright violations or unauthorized use of third-party intellectual property
• Fake member profiles, fake investor claims, or misrepresentation of identity

Apex News — Member-Generated News Platform

abc-worldwide.com/news is a member-to-member news and media system. All content published on Apex News is exclusively generated by registered Apex members:

• All news articles, stories, updates, and media items are created, published, edited, and managed by members through their personal MySite interface at myapex.me
• Apex does not write, edit, curate, or fact-check member-generated news content — Apex acts as platform and ecosystem organizer, not as a publisher or editor
• Members are solely and fully responsible for the accuracy, truthfulness, legality, and content of their own news publications
• News categories include: Business, Technology, Entrepreneurship, Arts, Automotive, Aviation, E-Commerce, Education, Entertainment, Environment, Finance, Golf, Health, Investments, Lifestyle, Real Estate, Science, Sports, Startups, Talents, Travel, and more
• Members may publish project updates, services, events, talent announcements, business information, collaborations, and ecosystem activities

Who Can Post — MySite at myapex.me

The Apex Ecosystem operates on a registered-access model. Only registered Participants and Members can post content:

• Registered Participants and Members can post: news, events, products, shop listings, ads, services, and all other content types through their MySite dashboard at myapex.me
• Unregistered users may browse public-facing pages but cannot post, publish, sell, or advertise
• Registration is required via abc-worldwide.com or myapex.me/login.php
• Each member's MySite provides unlimited posting capabilities: timeline news, ads, products, shop ads, events, expos, meet-ups, and access to 50+ Multiverse portals
• Members are independently responsible for all content posted under their account — Apex does not act as publisher, moderator, or curator of member content

Member Responsibility

Each member is the sole author and controller of the content they upload to the Platform. Members are fully and exclusively responsible for:

• The accuracy, truthfulness, and completeness of all content they publish
• The legality of all offers, services, products, and claims they make
• Ensuring compliance with copyright, trademark, and intellectual property laws
• All communications, negotiations, and transactions with other members or third parties
• All news articles, stories, opinions, and media they publish or share

Apex Is NOT Responsible For

• The accuracy, reliability, or truthfulness of any member-generated content
• The legality or compliance of offers, products, services, or claims made by members
• Any loss, damage, or dispute arising from reliance on member-generated content
• News, opinions, statements, or views expressed by individual members
• Any third-party content linked to or referenced within the Platform

Golden Ads System — abc-worldwide.com/goldenads

The Golden Ads system is the commercial digital advertising layer of the Apex Ecosystem, operated by Apex Business Group Worldwide S.L.:

• Every registered Member and Participant receives up to 10 ads free of charge (including 2 free ads upon registration)
• Additional ads beyond the free allocation are available through the Golden Ads paid system
• Golden Ads may be displayed across all Apex Multiverses portals (50+ hubs) as listed at abc-worldwide.com/sitemap
• Members receive a 50% discount on Golden Ads pricing
• Golden Ads use a four-tier global income pricing model based on PPP (see below)
• Members are responsible for the content, accuracy, and legality of their ads — Apex does not review, endorse, or guarantee any advertised products, services, or claims

PPP — Purchasing Power Parity Pricing (abc-worldwide.com/ppp)

Apex implements Purchasing Power Parity (PPP) pricing based on World Bank data, ensuring global fairness and equal access for members in all countries:

• PPP adjusts prices based on local income levels and cost of living — so members pay the same percentage of their income regardless of country, making Apex equally accessible worldwide
• PPP pricing applies to Golden Ads, event tickets, exhibitor packages, and other commercial services across the Ecosystem
• Four-tier pricing model: High-income countries (e.g., USA, Germany, Japan) pay standard rates; Middle-income countries (e.g., Brazil, Turkey) pay adjusted rates (~50% reduction); Lower-income countries (e.g., India, Nigeria) pay further adjusted rates (~70% reduction); Developing countries (e.g., Kenya, Cambodia) pay minimum adjusted rates (~80% reduction)
• PPP pricing supports Alpha Academy's equal opportunity and global participation mission
• Country detection is applied automatically at checkout — members see their locally adjusted price
• All members receive the same benefits and access regardless of the price tier they pay

Decentralized, Member-Operated Shopping Model

The Apex Shopping Ecosystem operates on a decentralized, member-operated model. This is a core Apex principle:

• Every Apex Member and Participant fully owns and operates their own MySite at myapex.me — including their shop, product listings, ads, news, and events. The MySite is completely owned by the participant or member
• Members have unlimited ads on their own MySite — there is no cap on product listings, shop ads, events, or news items posted through the member's own site
• All content, products, pricing, descriptions, and customer interactions are managed by the member — Apex provides the platform infrastructure only
• Apex does not interfere with member shop operations, product selection, or pricing — members operate their shops independently and at their own responsibility

Open Partnership — Any Shopping Portal Can Join

Apex operates an open ecosystem. Members are free to partner with any external shopping portal, marketplace, or e-commerce platform:

• Members may freely link to, integrate with, or promote products from any external shopping portal — including Amazon, Alibaba, eBay, Shopify, Etsy, or any other marketplace worldwide
• External shopping portals and e-commerce companies — including major global platforms — can become Apex Members if they are invited and upgraded by an existing Apex Member through the Member Invite Member (MIM) system
• Once registered, any company — regardless of size — receives its own Apex ID, MySite, and full access to the Apex Ecosystem under the same terms as all members
• Apex does not restrict which external platforms members use for their business — the Apex Ecosystem complements, not replaces, existing e-commerce channels
• Partnerships with external portals are member-to-portal relationships — Apex is not a party to, and assumes no liability for, transactions conducted on external platforms

How Members Sell on the Apex Ecosystem

Apex provides members with multiple selling channels. Members can sell products and services in two ways:

• Own Apex Site (MySite): Every member can create and manage their own personalized business site at myapex.me — with unlimited product listings, shop ads, news, and events. Members sell directly from their own Apex site, managing their own pricing, descriptions, inventory, and customer relationships
• Apex Marketplace Platforms: Members can list products on apexmegastore.com, apex-mega.com, and all Apex Shopping Worlds portals (including Luxury, Arts, Fashion, Industrial, Real Estate, Cars, Aviation, and Water Worlds)
• Via Apex Pay (Escrow Payment System): Members can process transactions through the ApexPay secure payment and escrow system at abc-worldwide.com/apexpay — which holds funds safely until both buyer and seller complete their agreement, providing escrow protection for high-value transactions
• Via Apex Auctions: Members can list items for auction through the Apex auction system at apexmegastore.com/auction — including luxury goods, collectibles, art, real estate, and other high-value items
• All selling, listing, and transaction activities are member-operated — Apex provides the platform infrastructure, not the products or services

ApexPay — Secure Payment & Escrow Platform

ApexPay (abc-worldwide.com/apexpay) is the premium payment and escrow platform for the Apex Ecosystem, designed exclusively for verified Apex members:

• Escrow Protection (Treuhandservice): Buyer pays → ApexPay holds funds securely → Seller delivers → Buyer confirms → Payment released. Funds stay protected until both parties are satisfied
• Digital Wallet & Cards: ApexPay Wallet for instant payments, ApexPay Gold Cards with exclusive member benefits, global acceptance via major card networks
• High-Value Transactions: Designed for luxury vehicles, real estate deposits, premium goods, collectibles, art, and business assets ($10K to $10M+)
• Golden Nuggets Rewards: Every verified transaction automatically credits Golden Nuggets to the member's balance, with tier-based multipliers for higher membership levels
• Licensed Partners: Powered by licensed fintech and banking partners (Solaris, Marqeta, Wallester) providing EU banking compliance, KYC/AML protection, and FDIC-insured funds
• ApexPay is integrated across Apex Travel Club, Apex Marketplace, Apex Golden Ads, and Apex Master Expos

Apex Is NOT Responsible For

• Payments, invoicing, or financial transactions between members, buyers, or sellers
• Delivery, shipping, logistics, or fulfillment of any products
• Product quality, safety, authenticity, description accuracy, or fitness for purpose
• Taxes, duties, customs, import/export fees, or VAT obligations
• Refunds, returns, exchanges, or warranty claims
• Auction outcomes, bidding disputes, or valuation accuracy
• Any disputes, disagreements, or losses arising from member-to-member or buyer-seller transactions
• Products or services listed by members on their own MySite or on any Apex marketplace platform
• Escrow disputes beyond the standard ApexPay dispute resolution process

Trusted Seller Programme

Apex offers a Trusted Seller Badge programme to help build buyer confidence. Sellers who meet Apex's verification and quality standards may receive a Trusted Seller Badge displayed on their listings. The badge indicates verification status but does not constitute a guarantee, warranty, or endorsement of any product, service, or seller by Apex.

Marketplace Rules — What Members Must NOT Sell, Buy, or Promote

Members have full freedom to operate their shops and list products, but they must follow the Apex rules and must NOT post, sell, buy, or promote:

• Illegal products or services of any kind in any jurisdiction
• Counterfeit, fake, or replica goods — including fake luxury brands, fake designer items, and unauthorized copies
• Weapons, ammunition, explosives, or military equipment
• Drugs, controlled substances, or unapproved pharmaceuticals
• Adult content, pornography, or sexually explicit material
• Stolen property, fraud, or items obtained through illegal means
• Hate speech, extremist material, or content promoting violence or discrimination
• Products that infringe on intellectual property, copyright, or trademarks of others
• Financial instruments, securities, cryptocurrency tokens, or investment products without proper licensing
• Any products or services that violate the Apex Global Rules & Regulations (Section 02)

Apex May

• Promote events, expos, conferences, summits, and tournaments within the Ecosystem
• Connect event organizers with partners, sponsors, exhibitors, and attendees
• Host and organize its own Apex-branded events (such as Apex Master Expos Worldwide Series, Boutique Expos, Golf Tournaments, Gala Dinners)
• Provide marketing, visibility, ticketing, and exhibitor management tools for event organizers
• List third-party events within the abc-worldwide.com/events directory
• Charge ticket fees, exhibitor fees, sponsorship packages, and Golden Ads for event promotion

Third-Party Event Organizer Responsibilities

Many events listed on the Platform are organized by independent third parties. Each event organizer is solely responsible for:

• Obtaining all necessary permits, licenses, and regulatory approvals in the event's jurisdiction
• Ensuring adequate insurance coverage for the event, its staff, and all attendees
• Health, safety, fire, and security measures for all attendees, exhibitors, and staff
• Refunds, cancellations, and ticket-related disputes
• Compliance with all local, national, and international laws and regulations
• Venue contracts, logistics, catering, and all operational matters
• Accurate event descriptions, schedules, pricing, and promotional materials

Apex Postpone-Not-Cancel Policy

Apex does not cancel events — events may only be postponed. This is a foundational Apex principle protecting all exhibitors, visitors, and partners.

• Postponed events are rescheduled — all tickets and exhibitor packages remain valid
• Exhibitors receive their package relocated to the next similar event at a similar location
• Apex provides a bonus voucher for an additional exhibitor package, valid for 2 years across all Apex Expos and Events
• No cash refunds — all changes result in vouchers or credits valid globally across the Apex event network

Refund Policy — Ticket Holders, Exhibitors & Sponsors

Apex's policy is aligned with standard international event organizer practices where rescheduling is the primary response to unforeseen circumstances. Refunding money due to postponement is not part of Apex's approach.

• Ticket Holders: In case of postponement, ticket holders are expected to attend the rescheduled event rather than receive a refund. Tickets remain valid for the new date. If a ticket holder cannot attend the rescheduled date, Apex may — at its sole discretion — offer the option to transfer the ticket to an alternative Apex event. No monetary refunds are issued for postponed events
• Exhibitors: The 50% deposit paid upon booth confirmation is non-refundable in case of postponement. Exhibitor packages are relocated to the next similar event. Exhibitors may receive additional services, bonus vouchers, or other accommodations as compensation — not a monetary refund. The remaining 50% balance, if already paid, is applied to the rescheduled event
• Sponsors & Partners: Sponsorship fees are non-refundable in case of postponement. Sponsorship benefits are transferred to the rescheduled event. Additional visibility, branding, or compensatory benefits may be offered at Apex's discretion
• Voluntary Cancellation by Participant: If a ticket holder, exhibitor, or sponsor voluntarily cancels their own participation (not due to event postponement), no refund is issued. Deposits and fees paid are non-refundable. Apex may, at its sole discretion, offer a credit or voucher for a future event
• Third-Party Organized Events: For events listed on Apex but organized by independent third parties, the third-party organizer is solely responsible for their own refund, rescheduling, and ticketing policies. Apex is not liable for refunds, cancellations, or disputes related to third-party events

When Apex Is the Event Organizer

For events directly organized by Apex Business Group Worldwide S.L. — including the Apex Master Expos Worldwide Series, Boutique Expos, Golf Tournaments, Gala Dinners, Shopping Festivals, Fashion Shows, Talent Shows, and Biohacking Expos:

• Apex Business Group Worldwide S.L. acts as the commercial event organizer and coordinator
• Apex is responsible for event concept, scheduling, exhibitor coordination, marketing, ticketing infrastructure, and overall event management
• Apex engages venues, service providers, and logistics partners as independent contractors — they are not employees or agents of Apex
• Apex does not act as manufacturer, provider, or seller of exhibitor products or services displayed at Apex-organized events
• All exhibitors, speakers, experts, sponsors, performers, travel operators, and participants at Apex-organized events act on their own responsibility and liability
• Apex reserves the right to change event dates, venues, programming, and formats at its sole discretion
• The Postpone-Not-Cancel Guarantee applies in full to all Apex-organized events — if an event cannot proceed, it is rescheduled, never cancelled
• Swiss Arbitration Centre, Zurich applies to all disputes arising from Apex-organized events regardless of the host country

When Third Parties Organize via the Apex Platform

For events listed on the Apex platform but organized by independent third parties:

• Apex provides the listing, promotion, and ticketing platform only
• The third-party organizer is solely responsible for all aspects of event delivery, safety, permits, insurance, refunds, and compliance
• Apex is not liable for cancellations, failures, injuries, or disputes related to third-party events
• Third-party organizers must comply with all Apex event posting rules as stated above

Participation at Own Risk — No Insurance Required, No Coverage Provided

Apex does not require any participant to show or provide proof of insurance. Apex does not provide, offer, or arrange any insurance or liability coverage of any kind.

• Every exhibitor, speaker, sponsor, visitor, attendee, performer, partner, organizer, and participant takes part in all Apex events, expos, congresses, conventions, conferences, seminars, summits, tournaments, galas, delegation trips, and meetups entirely at their own risk
• Apex is a platform and event coordinator — Apex does not give any coverage, warranty, or protection to any participant for any reason
• Apex strongly recommends that all participants obtain their own insurance (liability, property, health, travel, professional) at their own discretion and expense — but this is not a requirement
• Any claim, injury, loss, damage, illness, or dispute arising from participation in any Apex event is the sole responsibility of the participant involved

Apex Is NOT Liable For (Events)

Rules for Event Posters & Organizers

Any member or third party posting an event on abc-worldwide.com/events or apexmasterexpos.com must comply with the following rules:

• Event information must be accurate, truthful, and up-to-date — including dates, location, pricing, and program details
• Only real, confirmed events may be posted — fictitious, speculative, or unconfirmed events are prohibited
• The event poster must be the organizer or an authorized representative of the organizer
• Events must be legal in the jurisdiction where they take place
• No misleading claims about speakers, celebrities, VIPs, or attendees who have not confirmed participation
• No events promoting illegal activities, hate speech, political extremism, adult content, or weapons
• Event posters must respond to attendee and exhibitor inquiries in a timely and professional manner
• If an event is cancelled or changed, the poster must update the listing immediately
• Apex reserves the right to remove any event listing without notice if it violates these rules

Rules for Exhibitors

All exhibitors participating in Apex Master Expos or any Apex-listed event must:

• Display only genuine, legal, and accurately described products and services
• Comply with all venue rules, safety regulations, and local laws
• Obtain any required licenses, permits, or certifications for their products or services
• Behave professionally and respectfully toward attendees, other exhibitors, and staff
• Not make false claims about partnerships, endorsements, or affiliations with Apex or other exhibitors
• Not sell or promote counterfeit goods, fake luxury items, or misleading products
• Respect intellectual property — no unauthorized use of other brands, logos, or copyrighted materials
• Handle all payments, invoicing, shipping, and after-sales directly with their customers

Guidelines for Attendees & Visitors

• Attendees participate in all events at their own risk
• Attendees must follow all venue rules, safety instructions, and local regulations
• Attendees must behave respectfully toward exhibitors, organizers, speakers, and other visitors
• Photography and video recording policies are set by individual event organizers — attendees must comply
• Attendees should verify event details, insurance coverage, and safety measures directly with the event organizer before attending
• Ticket purchases, refunds, and cancellation policies are governed by the individual event organizer's terms
• Apex is not responsible for any expenses incurred by attendees (travel, accommodation, meals) in connection with any event

Rules for Sponsors & Partners

• Sponsors must only promote legal, genuine, and accurately represented products, services, or brands
• Sponsor agreements are between the sponsor and the event organizer directly — Apex may facilitate introductions but is not a party to sponsorship contracts
• Sponsors may not claim Apex endorsement or partnership beyond what is agreed in writing
• Sponsorship fees, deliverables, and refund terms are governed by the agreement between sponsor and organizer
• Sponsors must comply with all advertising standards, local laws, and intellectual property regulations
• Apex reserves the right to reject or remove any sponsor whose products or conduct conflict with Apex values

Ticketing & Pricing Policy

Apex Master Expos and affiliated events may offer tiered ticket pricing (Member rates and Participant rates). The Apex Global Fairness Policy may adjust pricing based on Purchasing Power Parity (PPP) by country as published by the World Bank. Ticket prices are set by the event organizer and may change without prior notice. All ticket sales are subject to the individual event's cancellation and refund policy. Apex is not responsible for ticket disputes, overbooking, or pricing errors by third-party event organizers.

Applicable Law — Swiss Arbitration for All International Events

Regardless of which country an Apex event, expo, or tournament takes place in, all disputes, claims, and legal matters arising from or in connection with Apex events are subject to arbitration through the Swiss Arbitration Centre, Zurich, Switzerland. Swiss arbitration law serves as the governing dispute resolution framework for all Apex international events and commercial activities worldwide — providing a neutral, internationally recognized, and enforceable legal standard valid across all jurisdictions.

Double Tax Agreement (DTA) System

Apex Business Group Worldwide S.L. (Spain, CIF: B93697449) operates under the international Double Tax Agreement (DTA) framework. Cross-border commercial activities — including exhibitor fees, sponsorship payments, ticket sales, and service charges collected across different jurisdictions — are handled in compliance with bilateral Double Tax Treaties between Spain and the respective event host country. This ensures that income is not taxed twice and provides fiscal clarity for exhibitors, sponsors, and partners operating internationally. Members and exhibitors are responsible for their own tax obligations in their home jurisdiction. Apex recommends consulting a qualified tax professional for cross-border transactions.

Booth Allocation & Confirmation

• Booths are assigned on a first-confirmed, first-served basis once the 50% deposit is received and verified by Apex Accounts
• The first confirmation invoice serves as a binding reservation
• Each booth includes full setup, standard power, Wi-Fi, daily cleaning, and free MultiPass tickets for the exhibitor team
• Any special requests (extra power, rigging, custom builds) must be approved in writing by Apex Operations

Payments & Deadlines

• Deposit (50%) is due with the first confirmation invoice
• Balance (50%) is due four weeks before the event opening date
• Non-payment of the balance may result in booth reassignment or cancellation without refund of the deposit
• All payments are processed securely via PayPal, supporting Visa, MasterCard, American Express, UnionPay, Apple Pay, and Google Pay
• All invoicing is handled exclusively through apex-invoice.com (see Invoicing section below)

Apex Postpone-Not-Cancel Guarantee

Apex does not cancel events. Events may only be postponed. This is a core Apex policy designed to protect exhibitors, visitors, and partners.

• If an event is postponed: Exhibitor booth packages and visitor tickets remain fully valid for the rescheduled event or any future Apex event at a similar location, subject to availability
• Exhibitor Protection — Voucher Guarantee: If an event is postponed or cannot proceed, exhibitors receive their booked exhibitor package relocated to the next possible similar event at a similar location. In addition, Apex goes one step further and provides the exhibitor with a bonus voucher for an additional exhibitor package, valid for 2 years across all Apex Expos and Events
• Event Calendar: Exhibitors can find the latest available events and rescheduled dates at www.abc-worldwide.com/calendar
• If an exhibitor cancels up to 7 days before the event: fees become a voucher for an identical booth size at any future Apex Master Expo worldwide
• If a visitor cancels up to 7 days before the event: the ticket may be transferred to another person or converted into a voucher for a future Apex event
• No cash refunds are provided — all cancellations result in credits or vouchers valid across the Apex Expo network

Deposit & Payment Terms

• The 50% deposit is non-refundable once the booth confirmation invoice has been issued
• Booth reservations may be transferred to another approved company with written consent from Apex
• All exhibitor payments are fully transferable as vouchers upon written request

Exhibitor Conduct & Compliance

• Exhibitors must operate their booths in a professional, ethical, and respectful manner consistent with Apex's global standards
• Only products and services listed in the official exhibitor registration may be displayed
• Booth sharing or subletting without written approval from Apex is prohibited
• All activities must comply with venue regulations and local authority requirements
• Music, scent, or demo sound levels must not disturb neighboring exhibitors
• Booth design, lighting, and sound should reflect a refined, high-end professional image consistent with Apex Master Expos premium standards

Insurance, Liability & Own Risk

Apex does not require exhibitors to provide proof of insurance as a condition of participation. However, Apex strongly recommends that all participants obtain appropriate insurance coverage at their own discretion.

• Apex is a platform and event coordinator only — Apex does not provide, offer, or arrange any insurance coverage of any kind for any participant

Setup & Dismantling

• Setup typically begins one day before the event opening and must be completed before attendee entry
• Dismantling may begin only after the official event closing and must finish within the designated timeframe
• Early dismantling during event hours is strictly prohibited
• Exhibitors must leave their allocated space in the condition it was received

AML/KYC Compliance

• Apex complies with applicable EU Anti-Money Laundering Directives (AMLD) as a Spain-based entity, and with local AML regulations in jurisdictions where it operates (USA, UAE, Singapore, Australia)
• Apex may require identity verification (KYC) for high-value transactions, Immediate Membership payments, exhibitor registrations, and ApexPay escrow services

• External visibility (public-facing pages) exists only to share the Apex philosophy, global events, and mission — it does not confirm active membership or partnership of any displayed entity
• The actual ecosystem — including private areas, member connections, deal rooms, matchmaking, and business collaboration — operates strictly internally for verified registered Members and Participants only
• No entity is publicly confirmed as an active member or partner unless they have completed Apex registration and received their Apex ID
• Unregistered visitors see only public information pages — all private collaboration, communication, and transaction features are restricted to verified members

• Any claim that your content infringes or violates any third party's intellectual property, privacy, or other rights
• Your participation in any Apex event, expo, conference, or activity — including any injury, loss, damage, or claim arising therefrom
• Any breach of your representations or warranties under these Terms

Step-by-Step Resolution

• Step 1 — Direct Communication: The parties shall first attempt to resolve the dispute directly through good-faith negotiation. For member-to-member disputes, Apex is not a party and has no obligation to intervene
• Step 2 — Apex Support: If direct resolution fails, either party may submit a written complaint to [email protected] or [email protected]. Apex may, at its sole discretion, offer mediation or guidance — but is under no obligation to resolve disputes between members
• Step 3 — Formal Mediation: If the dispute remains unresolved, the parties may engage a professional mediator. Costs shared equally unless otherwise agreed
• Step 4 — Arbitration: For all international disputes related to Apex events, franchise, operator, and exhibitor contracts — arbitration through the Swiss Arbitration Centre, Zurich, Switzerland. Conducted in English. The arbitral award is final and binding
• Step 5 — Court Jurisdiction: For all other disputes, the courts of Spain (Cádiz, Andalucía) have exclusive jurisdiction under Spanish law

Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it valid while preserving the original intent.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, all section-specific policies on this Legal Hub, and the Global Terms & Conditions at abc-worldwide.com/terms, constitute the entire agreement between you and Apex Business Group Worldwide S.L. regarding your use of the Apex Ecosystem. They supersede all prior communications, proposals, and agreements, whether oral or written.

Assignment & Transfer

You may not assign, transfer, or delegate your rights or obligations under these Terms without Apex's prior written consent. Apex may assign its rights and obligations to any affiliate, subsidiary, successor, or acquirer without restriction.

No Waiver

Apex's failure to enforce any right or provision shall not constitute a waiver of such right or provision. A waiver of any term shall not be deemed a continuing waiver of such term or any other term.

Modification of Terms

Apex reserves the right to modify, update, or amend these Terms at any time. Changes are effective upon posting. The "Last Updated" date will be revised. Continued use constitutes acceptance. For material changes, Apex may notify members via A-mail, email, or dashboard — however, it is each member's responsibility to review periodically.

Governing Language

These Terms are published in English, which is the governing language. Translations may be provided for convenience, but in case of conflict between the English version and any translation, the English version prevails.

Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and Apex — unless explicitly agreed in a separate written agreement. Members, participants, exhibitors, sponsors, and affiliates are independent parties at all times.

Survival

The following provisions survive termination of your account: Intellectual Property (Section 10), Limitation of Liability (Section 09), Indemnification (Section 26), Dispute Resolution (Section 27), AML/KYC (Section 20), Force Majeure (Section 19), and any other provision that by its nature should survive.
